Appointment of Listing Committee Members

The Stock Exchange of Hong Kong Limited (the Exchange), a wholly-owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEx), announces the appointment of members to the Listing Committee of the Main Board and Growth Enterprise Market (GEM) (together, the Listing Committee1).

The Listing Rules of the Main Board and GEM provide for all Listing Committee members to vacate office annually.  Each year, the Listing Nominating Committee nominates individuals for appointment (and reappointment) to the Listing Committee. The Board of the Exchange makes the appointments on the recommendation of the Listing Nominating Committee.

The Listing Nominating Committee comprised three non-executive members of the HKEx Board (Chairman Chow Chung Kong, Director John Strickland and Director Margaret Leung) and the Chairman and two Executive Directors of the Securities and Futures Commission (SFC) (Chairman Carlson Tong, Chief Executive Officer Ashley Alder and Executive Director Brian Ho).

By news releases published on 28 February 2014 and 2 April 2014, the Listing Nominating Committee invited applications from individuals interested in serving on the Listing Committee.  Seventy-two applications were received. The Listing Nominating Committee is grateful to all applicants for expressing their willingness to serve.

Membership of Listing Committee commencing today

With immediate effect, membership of the Listing Committee will be as set out in the table below. Members' biographies are attached below the table. There are five new Listing Committee members – John Ho, Daniel Swift, Philip Tye, Andrew Weir and Wendy Yung. They replace Terence Keyes, Guorong Jiang, Richard Sun, Nigel Davis and Mary Ma (whose resignation on being appointed a non-executive director of the SFC was previously announced on 14 November 2013.)  The Exchange wishes to thank these members for their service on the Listing Committee.

Members' Biographies

Mr LEE Ka Sze, Carmelo, JP — Chairman

Aged 54, Partner of Woo, Kwan, Lee & Lo, was appointed to the Listing Committee on 5 June 2009. He is a non-executive director of Hopewell Holdings Limited, CSPC Pharmaceutical Group Limited, Yugang International Limited, YT Realty Group Limited, Safety Godown Company Limited and Termbray Industries International (Holdings) Limited; and an independent non-executive director of KWG Property Holding Limited, Ping An Insurance (Group) Company of China Limited and Esprit Holdings Limited.

Mr Lee is a member of the SFC (HKEC Listing) Committee, a member of the SFC Dual Filing Advisory Group, and a member of the Disciplinary Panel of the Hong Kong Institute of Certified Public Accountants. He is also a member of the Campaign Committee of The Community Chest of Hong Kong and the Co-Chairman of the Community Chest Corporate Challenge Half Marathon.

Mr Lee is qualified as a solicitor in Hong Kong, England and Wales, Singapore and Australian Capital Territory, Australia. He is a graduate of the University of Hong Kong. Mr Lee previously served on the Listing Committee from 2000 to 2003.

Mr BROWN Stephen James — Deputy Chairman

Aged 59, Director of Corporate Affairs at Noble Group Limited since August 2007, was appointed to the Listing Committee on 4 May 2012.  Mr Brown was previously a director of Kim Eng Securities Hong Kong Limited and has held a number of senior positions at major institutions operating in the capital markets in Hong Kong and Asia. Mr Brown is a director of Civic Exchange and a member of the SFC Dual Filing Advisory Group. He graduated from Reading University with a degree in Urban Estate Management. He previously served on the Listing Committee from 2006 to 2009.

Mr TAYLOR Stephen — Deputy Chairman

Aged 57, Partner, Deloitte Touche Tohmatsu, was appointed to the Listing Committee on 24 June 2011. Mr Taylor is senior partner in national audit and assurance technical department of Deloitte China and head of the Deloitte Asia Pacific IFRS centre of excellence based in Hong Kong. He is a Fellow of the Hong Kong Institute of Certified Public Accountants, where he is also a member of the Professional Standards Monitoring Expert Panel and its Sustainability and Integrated Reporting Advisory Group.  Mr Taylor is a member of IFRS Advisory Council the formal advisory body to the Trustees of the IFRS Foundation, an Honorary advisor to the Financial Reporting Council and a member of its Oversight and Operations Committee.  He is a member of the Institute of Chartered Accountants in England and Wales and a Fellow of the Institute of Chartered Accountants of Australia.  Mr Taylor graduated from Lancaster University with a degree in Accounting and Finance.

Mr LI Xiaojia, Charles — Ex officio member

Aged 53, became an ex officio member of the Listing Committee when his appointment as Chief Executive of HKEx took effect on 16 January 2010.  Mr Li is Chairman of The Stock Exchange of Hong Kong Limited and also Chairman and a director of various other subsidiaries of HKEx.  Before joining HKEx, he was Chairman of JP Morgan Chase China, prior to which he was President of Merrill Lynch China.  Before joining Merrill Lynch in 1994, Mr Li practiced law in New York with Davis Polk & Wardwell and Brown & Wood.

Before moving to the US for his studies, Mr Li had worked as an offshore oil worker in the North China Sea, and as a newspaper editor-reporter for China Daily from 1984-86.

Mr Li obtained a BA degree in English literature from Xiamen University of China in 1984, a MA degree in journalism from the University of Alabama in 1988, and a JD degree from Columbia University School of Law in 1991.

Mr CHAN Wing Tak, Kevin — Member 

Aged 48, an investment analyst with more than 20 years' experience was appointed to the Listing Committee on 24 May 2013. Mr Chan was previously Senior Advisor (Banking) of KPMG China, Head of Hong Kong and China Financial Research at CLSA Limited and before that held a similar position at Nomura International (HK) Limited. He is a member of the Chinese People’s Political Consultative Conference, Guangxi Committee and an Honorary Director of the Y Elites Association. Mr Chan received a Master’s degree and Bachelor’s degree in Economics from the London School of Economics and Political Science of University of London, United Kingdom.

Ms CHARLTON Julia Frances — Member

Aged 54, Partner, Charltons, was appointed to the Listing Committee on 4 May 2012.  She is a member of the Takeovers and Mergers Panel and a member of the Takeovers Appeal Committee of the SFC.  Ms Charlton is a Fellow of the Hong Kong Institute of Directors and a Fellow of the Hong Kong Securities Institute and a member of its Examinations Committee. She is also a member of Investigation Panel A of Hong Kong Institute of Certified Public Accountants and of the Company Law Committee of The Law Society of Hong Kong.

Ms Charlton is qualified as a solicitor in Hong Kong and in England and Wales.  She holds a first class honours degree from King’s College London and a Postgraduate Diploma from the University of Oxford.

Mr CHOW Yik-Cheung, Eric — Member 

Aged 37, sole portfolio manager and a director of Value Partners Hedge Fund as well as Investment Director of Value Partners Group Limited, which is listed on the Main Board of The Stock Exchange of Hong Kong Limited, was appointed to the Listing Committee on 24 May 2013. Mr Chow worked for Australian Bureau of Statistics in Australia after graduation, and later joined Value Partners, an independent asset management group with headquarters in Hong Kong, in 2002. Born in Hong Kong, Mr Chow graduated from The University of Sydney, Australia, with a Bachelor’s degree in Economics (double majors in Economics and Finance).

Mr CLARK Stephen John — Member

Aged 50, Managing Director, Advisory, Capital Financing, Global Banking and Markets for The Hongkong and Shanghai Banking Corporation Limited, was appointed to the Listing Committee on 4 May 2012. Mr Clark is a member of the Hong Kong Securities Institute. He is qualified as a solicitor in Hong Kong and is a non-practising solicitor in England and Wales. He holds a law degree from Southampton University.

Mr GOODING Nial Dennis Henry — Member

Aged 55, a Senior Fund Manager with GCIS Limited, a boutique fund manager specialising in Hong Kong and China equity investment, was appointed to the Listing Committee on 4 May 2012. Mr Gooding has lived and worked in Asia for more than 30 years, and in Hong Kong since 1992. He has worked for a number of financial institutions in equity sales, sales management and investment management positions. Most recently he was a Senior Research Analyst (China) at Eight Investment Partners having been before that Head of Equity Strategy at Northwest Investment Management, a Hong Kong based hedge fund.  He is also a CFA Charterholder.

Mr HO Chi On, John — Member

Aged 37, Founder and Chief Investment Officer, Janchor Partners, was appointed to the Listing Committee on 11 July 2014. Janchor Partners is an investment management firm focused on fundamental long-term investments in Asia-related companies. Prior to Janchor Partners, Mr Ho was Head of Asian Investing at the Hong Kong office of The Children’s Investment Fund.  He also served as a Non-Executive Director of The Link Real Estate Investment Trust and an Associate Lecturer in the School of Banking and Finance of the University of New South Wales, Australia. Mr Ho holds a Bachelor of Science in Mathematics and a Bachelor of Commerce in Finance (First Class Honours and University Medal) from the University of New South Wales.

Ms HO Yvonne — Member

Aged 50, Managing Director and Head of Legal & Compliance, Cheetah Investment Management Limited, and Founder and Managing Director, Courses & Seminars Limited, was appointed to the Listing Committee on 4 May 2012.  She is qualified as a solicitor in Hong Kong and in England and Wales. Ms Ho is admitted as a Barrister of the Province of British Columbia and Solicitor of the Supreme Court of British Columbia, Canada. She holds a J.D. from the University of British Columbia, B.C., Canada and a Bachelor of Arts from Pomona College, Claremont, California.

Mr IP Tin Chee, Arnold — Member

Aged 51, Executive Director of Altus Capital Limited, a licensed financial advisor in Hong Kong, and executive chairman of Japan Residential Assets Manager Limited, manager of a real estate investment trust listed in Singapore was appointed to the Listing Committee on 4 May 2012.  He is an independent non-executive director of Pioneer Global Group Limited, and an independent non-executive director of Pak Fah Yeow International Limited, both of which are listed on The Stock Exchange of Hong Kong Limited.  Between 1989 and March 1997, Mr Ip worked for Standard Chartered Asia Limited and was a director of Yuanta Securities (Hong Kong) Limited thereafter until January 2001.  Mr Ip holds a Master of Arts from Trinity College, Cambridge University, and is a member of the Institute of Chartered Accountants in England and Wales.

Mr LEUNG Heung Ying, Alvin — Member

Aged 51, Managing Director and founder of Proton Capital Limited, was appointed to the Listing Committee on 23 July 2010.

Mr Leung is a Fellow Member of the Institute of Chartered Accountants in England and Wales, and the Hong Kong Institute of Certified Public Accountants. At the latter he was previously a member of the Corporate Finance Committee, the Expert Panel on Listing and the Advisory Committee on Listing and Takeover Regulations.  He is a Standing Committee member of the Political Consultative Committee of Wu Hua County of Guangdong Province and an arbitrator of the Panel of Arbitrators of China International Economic and Trade Arbitration Commission. Mr Leung is a member of the Public Affairs Forum of the HKSAR Government.  He also serves as Committee member of Hong Kong Securities Professionals Association.  Mr Leung graduated from the University of Bradford, United Kingdom with a Bachelor’s degree. He received a Master Degree from London School of Economics and Political Science of University of London, United Kingdom and a Bachelor’s degree in Chinese Laws from the Peking University, the PRC.

Mr LEUNG Siu Tung, Anthony — Member

Aged 47, Partner, Ernst & Young, was appointed to the Listing Committee on 5 June 2009. He is the Deputy Assurance Leader of Ernst & Young, Hong Kong and China South region. He is a member of the Hong Kong Institute of Certified Public Accountants and a member of the Institute of Chartered Accountants in Australia. Mr Leung was previously a member of the Auditing and Assurance Standards Committee, and the Professional Conduct Committee of the Hong Kong Institute of Certified Public Accountants.

Mr LI Kai Cheong, Samson — Member

Aged 54, Deputy Chief Executive and Chief Investment Officer, The Bank of East Asia Limited, was appointed to the Listing Committee on 23 July 2010. Mr Li is a Fellow of The Hong Kong Institute of Chartered Secretaries, the Institute of Chartered Secretaries & Administrators, and The Association of Chartered Certified Accountants. He is also an Associate of the Hong Kong Institute of Certified Public Accountants and a Member of the Hong Kong Securities and Investment Institute. Mr Li holds a Professional Diploma in Accountancy from The Hong Kong Polytechnic University.

Mr LIU Ting An — Member

Aged 52, Mr Liu is the Deputy Chairman and President of China Life Insurance (Overseas) Company Limited. He was appointed as a member of the Listing Committee on 23 July 2010.  He was previously the Board Secretary General of China Life Insurance Company Limited, the Company’s Spokesman, and the General Manager of Investment Centre of former China Life Insurance Company.

Mr Liu holds a number of positions of responsibility in various industry bodies, including serving as a council member of the Financial Services Development Council of the Hong Kong SAR, as a member of the Insurance Advisory Committee of the Government of Hong Kong SAR, as an executive director of the Hong Kong Chinese Enterprises Association and as the deputy chairman of the Hong Kong Institute of Directors.

Mr Liu is a senior economist, a fellow of the Institute of Chartered Secretaries and Administrators UK and a fellow of the Hong Kong Institute of Chartered Secretaries. He obtained a master's degree in Economics from Renmin University of China and completed a scholarship programme in Monetary Policy and Financial Markets at Oxford University.

Mr MAGUIRE John Martin — Member 

Aged 50, Head of Corporate Finance at REORIENT Financial Markets Limited, was appointed to the Listing Committee on 24 May 2013. Mr Maguire was previously Managing Director of OSK Capital Hong Kong Limited (formerly named Ernst & Young Corporate Finance Limited), a position he held since co-founding the company in 2000.

Mr Maguire is Deputy Chairman of the Takeovers and Mergers Panel, a member of the Takeovers Appeal Committee, an alternate member of the SFC’s Nominations Committee and a member of the Committee on Real Estate Investment Trusts.  He is a Fellow and director of the Hong Kong Securities and Investment Institute and serves as Chairman of its Membership Committee and a member of its Executive Committee.

Mr Maguire is qualified as a solicitor in Hong Kong and in England and Wales. He holds a bachelor’s degree in law from Durham University.

Mr MALCOLM Andrew Craig — Member

Aged 54, Partner, Linklaters, was appointed to the Listing Committee on 4 May 2012. Mr Malcolm acts as legal adviser to the Asian Capital Markets Association; he is a member of the supervisory committee of the Asian Bond Fund; and he is a member of the Market Practices committee of the Treasury Markets Association. Mr Malcolm is qualified as a solicitor in Hong Kong and in England and Wales.  He holds BA (Jurisprudence) and BCL degrees from Oxford University.

Mr NG Meng Hua, Daniel — Member

Aged 50, is the Deputy Chief Executive Officer and Head of Investment Banking at China Merchants Securities (HK) Co., Limited. He was appointed to the Listing Committee on 5 June 2009. Mr Ng held senior positions at several investment banks, including as Vice Chairman of Investment Banking at Bank of China International before joining China Merchants Securities (HK) in 2012. Mr Ng holds a Master of Laws from the School of Law at Northwestern University, an MBA from the University of Rochester, New York and a Bachelor’s degree from Indiana University, Bloomington in the US. Mr Ng has also completed the Financial Management Program at Harvard Business School.

Mr PHENIX Paul Anthony — Member

Aged 68, Director – Technical and Regulatory, Baker Tilly, was appointed to the Listing Committee on 23 July 2010.  He was previously Senior Adviser to the Australian Securities Exchange and was a member of the ASX Listing Committee. Prior to that he was Executive Director, Regulation, The Stock Exchange of Hong Kong Limited. Mr Phenix is a Fellow of the Hong Kong Institute of Certified Public Accountants and is a member of its Financial Reporting Standards, Auditing and Assurance Standards, and Professional Conduct Committees. He is also a Fellow of the Institute of Chartered Accountants in England and Wales. Mr Phenix is a member of the International Steering Committee of XBRL International and a director of XBRL Australia. He holds a bachelor's degree from the London School of Economics and an MBA from Bradford University Management Centre.

Mr SWIFT Joseph Daniel — Member

Aged 47, Managing Director in the Investment Banking Division at Goldman Sachs (Asia) LLC, was appointed to the Listing Committee on 11 July 2014.  Mr Swift holds an MBA from the MIT Sloan School of Management and a Bachelor’s degree from Washington University in the US.

Ms TAN Siew Boi, May — Member

Aged 58, Executive Director and Chief Executive Officer, Standard Chartered Bank (Hong Kong) Limited was appointed to the Listing Committee on 4 May 2012. She was previously the Chief Executive Officer of Cazenove Asia and a partner of Cazenove and Co. Cazenove Asia became part of Standard Chartered Bank in January 2009.  Ms Tan is Chairman of the Hong Kong Interbank Clearing Limited and a member of the Risk Management Committee of HKEx.  She is an independent non-executive director of The Link Management Limited. Ms Tan is on the Board of Oxfam Hong Kong and is also its Treasurer. She is a former member of the Takeovers and Mergers Panel and the Takeovers Appeal Panel of the SFC. Ms Tan is a member of the Institute of Chartered Accountants in England and Wales, Hong Kong Institute of Certified Public Accountants and holds a degree from Sheffield University.

Mrs TRACY Alexandra Boakes — Member 

Aged 47, President and Founder of Hoi Ping Ventures, was appointed to the Listing Committee on 24 May 2013. Hoi Ping Ventures provides research and consulting on investment and sustainability issues. She was previously Vice President – Strategy at First Eastern Investment Group; Director – Asia Pacific for Camden Publishing Limited; Chief Financial Officer of Aptitudex.net International Pte Limited and an investment banker with Morgan Stanley, Citibank and ABN Amro Bank.

Mrs Tracy is Chairman of the Association for Sustainable & Responsible Investment in Asia. She is also Senior Advisor to the Asia Investor Group on Climate Change and an Advisor to the Hong Kong University of Science & Technology's Asian Family Business Research Centre. Mrs Tracy holds an MBA from the Harvard Business School and Masters’ degrees from Yale University and Cambridge University.

Mr TYE Philip Andrew — Member

Aged 52, Chairman of Hong Kong Chapter and Member of Global Council, Alternative Investment Management Association, was appointed to the Listing Committee on 11 July 2014.  Mr Tye is also a director of HFL Advisors Limited, a company which provides independent director and strategic advisory services to hedge funds. He is also currently a director of Nighthawk Capital Limited and was previously a Founding Partner and Managing Director of DragonBack Capital Limited.  He is a Fellow and Director of the Hong Kong Securities and Investment Institute, Chairman of its Professional Education Committee and a member of its Executive Committee.  Mr Tye is a member of the Financial Services Advisory Committee for the Hong Kong Trade Development and the Steering Committee for the Asian Financial Forum.  He is also a member of the Institute of Chartered Accountants in England and Wales.  Mr Tye graduated from the University of Essex with a degree in biological sciences.

Mr WEIR Andrew Walter Bougourd Ross — Member

Aged 49, Senior Partner of KPMG in Hong Kong, was appointed to the Listing Committee on 11 July 2014.  Mr Weir is a Fellow of the Hong Kong Institute of Certified Public Accountants and previously served on its Disciplinary Panel and Committees and is a Fellow of the Institute of Chartered Accountants in England and Wales and Deputy Chairman of its advisory panel in Hong Kong.  He qualified as a Chartered Accountant in London in 1990.

Mr Weir is Chairman of Community Business, Plan International and the British Chamber of Commerce in Hong Kong. He is the Global Chair of Real Estate and Construction at KPMG and a board member of the Hong Kong Chapter of Asia Pacific Real Estate Association, Asian Association for Investors in Non-listed Real Estate Vehicles and the Pacific Basin Economic Council.

He has a BA (Hons) in Economics and a MA in Development Economics.

Ms YEUNG Eirene — Member

Aged 53, Member of Executive Committee and Company Secretary of Cheung Kong (Holdings) Limited, was appointed to the Listing Committee on 4 May 2012.  She is a Non-executive Director of ARA Asset Management (Fortune) Limited, which manages Fortune Real Estate Investment Trust, a real estate investment trust listed in Hong Kong and Singapore; the Alternate Director to the Group Managing Director of Cheung Kong Infrastructure Holdings Limited; and the Company Secretary of Cheung Kong Infrastructure Holdings Limited and CK Life Sciences Int’l., (Holdings) Inc.

Ms Yeung is a lay member of the Financial Reporting Council, a member of the SFC (HKEC Listing) Committee, a General Committee member of The Chamber of Hong Kong Listed Companies, a member of the Advisory Board of the MBA Programmes of The Chinese University of Hong Kong (CUHK) and a member of the Advisory Group on BBA-JD Programme of CUHK.  Ms Yeung is qualified as solicitor in Hong Kong and in England and Wales.  She is also a fellow member of The Hong Kong Institute of Directors, The Hong Kong Institute of Chartered Secretaries and The Institute of Chartered Secretaries and Administrators.  She holds a Master of Science degree in Finance, a Master’s degree in Business Administration and a Bachelor’s degree in Laws.

Ms YUNG Wen Yee, Wendy — Member

Aged 52, Executive Director and Company Secretary, Hysan Development Company Limited was appointed to the Listing Committee on 11 July 2014. Ms Yung is qualified as a solicitor in Hong Kong as well as England and Wales. She is also a member of the Hong Kong Institute of Certified Public Accountants, a Fellow of the Hong Kong Institute of Chartered Secretaries; and sits on a number of panels of the two institutes respectively.  Her other public services include serving as a member of the Securities and Futures Appeal Panel, Standing Committee on Company Law Reform, and a co-opted member of the Audit and Risk Committee of the Hospital Authority. Ms Yung holds a Master of Arts degree from Oxford University, United Kingdom.

Ms ZEE Helen — Member 

Aged 46, Managing Director and Deputy Chief Executive of Haitong International Capital Limited, was appointed to the Listing Committee on 24 May 2013. Ms Zee has over 20 years’ experience in corporate finance.  She previously held positions in First Shanghai Capital Limited, the Corporate Finance Division of the SFC and the Listing Division of The Stock Exchange of Hong Kong Limited. Ms Zee is a General Committee member of The Chamber of Hong Kong Listed Companies Limited. She holds a Bachelor of Science degree from University of California, Berkeley, US and a law degree from University of Wolverhampton, United Kingdom. She is a member of American Institute of Certified Public Accountants.
