Appointment of Listing Committee Members

The Stock Exchange of Hong Kong Limited (the Exchange), a wholly owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEx), announces the appointment of members to the Listing Committee of the Main Board and Growth Enterprise Market (GEM) (together, the Listing Committee1).

The Listing Rules of the Main Board and GEM (together, the Rules) provide for all Listing Committee members to vacate office annually.  Each year, the Listing Nominating Committee nominates individuals for appointment (and reappointment) to the Listing Committee. The Board of the Exchange makes the appointments on the recommendation of the Listing Nominating Committee. 

The Listing Nominating Committee comprises three non-executive members of the HKEx Board (the Chairman, Ronald Arculli, and directors, Laura Cha and John Strickland) and the Chairman and two Executive Directors of the Securities and Futures Commission (Chairman Eddy Fong, Chief Executive Martin Wheatley, and Executive Director Brian Ho).

By a news release published on 2 April 2009, the Listing Nominating Committee invited applications from individuals interested in serving on the Listing Committee. Fifty-six applications were received.  The Listing Nominating Committee is grateful to all applicants for expressing their willingness to serve.

Membership of Listing Committee commencing today 

With immediate effect, membership of the Listing Committee will be as set out below. Members' biographies are set out in the attached schedule.

There are eight new Listing Committee members – Carmelo Lee, Jack Chow, Guorong Jiang, Anthony Leung, Mary Ma, Daniel Ng, Edith Shih and Richard Sun. They replace Stephen Hui, who recently retired from the Committee on being appointed as a director of HKEx; and Gage McAfee (who served as Chairman from 2008 to 2009), Tony Tsoi (who served as a Deputy Chairman from 2008 to 2009), Roger Best, Ernest Ip, Alex Ko and Raymond Lee who retire having reached the limit on their term of office2; and Paul Go, who although eligible did not seek reappointment.  The Exchange wishes to thank all retiring members for their service on the Listing Committee.

1 The Main Board and GEM Listing Committees have operated as an integrated committee since 2003 and have had identical membership since 2006.
2 The Rules provide that, save in exceptional circumstances, members of the Listing Committee may only remain in office for a maximum of six consecutive years in addition to any period of appointment to fill a casual vacancy. 

 

Biographies


Ms KO Yuk-yin, Teresa - Chairman  

Aged 48, China Managing Partner, Freshfields Bruckhaus Deringer, was appointed to the Listing Committee on 19 May 2006.  She qualified as a solicitor in Hong Kong and in England and Wales after receiving her Masters Degree from Cambridge University.  Ms Ko is Deputy Chairman and a member of the Hong Kong Panel on Takeovers and Mergers, a member of the SFC (HKEC Listing) Committee and a member of the Standing Committee on Company Law Reform.

Mr LEE Ka Sze, Carmelo - Deputy Chairman

Aged 49, Partner of Woo, Kwan, Lee & Lo, was appointed to the Listing Committee on 5 June 2009.  He is a non-executive director of Hopewell Holdings Limited, China Pharmaceutical Group Limited, The Cross-Harbour (Holdings) Limited, Yugang International Limited, Y.T. Realty Group Limited, Safety Godown Limited, Termbray Industries International (Holdings) Limited and Taifook Securities Group Limited; and an independent non-executive director of KWG Property Holding Limited.   

Mr Lee is an adjudicator at the Registration of Persons Tribunal, a chairman of the Transport Tribunal of the HKSAR Government and a member of the Disciplinary Panel of the Hong Kong Institute of Certified Public Accountants.  He is also the Deputy Chairman of the Mainland Legal Affairs Committee of the Law Society of Hong Kong, a member of the Campaign Committee of The Community Chest of Hong Kong and the Co-Chairman of the Community Chest Corporate Challenge Half Marathon. 

Mr Lee is qualified as a solicitor in Hong Kong and is a graduate of the University of Hong Kong.  He previously served on the Listing Committee from 2000 to 2003.

Mr MOORE John Douglas - Deputy Chairman

Aged 41, Partner, Herbert Smith, was appointed to the Listing Committee on 19 May 2008.  He was previously Executive Director and Senior Counsel at Goldman Sachs (Asia) L.L.C.  Mr Moore is qualified as a solicitor in Hong Kong and is admitted as an attorney in the Supreme Court of the State of New York and the State of Washington.  He holds a Bachelor of Business Administration in Finance from Marshall University and a Doctor of Jurisprudence from West Virginia University College of Law.

Mr CHOW Man Yiu, Paul - ex officio Member

Aged 62, became an ex officio member of the Listing Committee on being appointed Chief Executive of HKEx on 1 May 2003.  He is Chairman of The Stock Exchange of Hong Kong Limited and also Chairman and director of various other subsidiaries of HKEx.  Mr Chow was previously the Chief Executive, Asia Pacific ex-Japan Region of HSBC Asset Management (Hong Kong) Limited from April 1997 to April 2003.  He is a director and vice-chairman of the World Federation of Exchanges.  He is also a member of the Standing Committee on Company Law Reform.  Mr Chow is a Distinguished Fellow of the Hong Kong Computer Society and holds a Bachelor of Science degree in Mechanical Engineering, a Diploma in Management Studies and an MBA degree from The University of Hong Kong, and a Diploma in Finance (Distinction) from The Chinese University of Hong Kong.  The University of Hong Kong has conferred an honorary university fellowship on Mr Chow and The Hong Kong Polytechnic University has conferred a university fellowship on him.  He is a fellow of The Hong Kong Management Association, The Hong Kong Institute of Chartered Secretaries, The Institute of Chartered Secretaries and Administrators, and an ordinary member of the Hong Kong Securities Institute.

Mr ALLEN Jamie - Member

Aged 47, Founding Secretary General of the Asian Corporate Governance Association, an independent non-profit organisation based in Hong Kong, was appointed to the Listing Committee on 19 May 2006.  Mr Allen was previously a member of the Public Shareholders' Group of the SFC for six years.  He is also a core member of the OECD Asian Roundtable on Corporate Governance and a member of the International Corporate Governance Network. He is an honours graduate of the Australian National University, Canberra.

Ms BROWN Melissa - Member

Aged 52, Managing Director, IDFC Global Alternatives (Hong Kong) Ltd, was appointed to the Listing Committee on 19 May 2006.  She was previously Executive Director, The Association for Sustainable and Responsible Investment in Asia and before that Managing Director and Deputy Head of Asian Research for Citigroup/Salomon Smith Barney.  She is a graduate of Williams College and holds an MBA from the Yale School of Management.

Mr BROWN Stephen James - Member

Aged 54, Director of Investors Relations at Noble Group Limited, was appointed to the Listing Committee on 19 May 2006.  Mr Brown was previously a director of Kim Eng Securities Hong Kong Limited and has held a number of senior positions at major institutions operating in the capital markets in Hong Kong.  Mr Brown is a director of Civic Exchange and a Member of Vision 2047.  He graduated from Reading University with a degree in Urban Estate Management.

Mr BUNKER Robert Edward John – Member

Aged 63, Director, Butterfield Private Office (HK) Ltd, was appointed to the Listing Committee on 19 May 2006.  He is a former vice chairman of the Asian Securities Analysts Federation.  Mr Bunker is a former chairman of the Hong Kong Institute of Investment Analysts and was a founder-director of the Hong Kong Securities Institute.  He is a graduate of Cambridge University.

Mr CHAN Chun Hung, Vincent - Member

Aged 45, Chief Executive Officer & Co-Founder, Spring Capital Asia Limited, was appointed to the Listing Committee on 18 May 2007.  From 2000 to 2007, he was Managing Director, Head of North Asia and Investment Committee Member of JAFCO Asia.  Mr Chan was a Non Executive Director of China Grentech and Canadian Solar respectively, both are listed on the NASDAQ.  He is the Co-President and a former Chairman of the Hong Kong Venture Capital and Private Equity Association and a member of the TDC's Innovation and Technology Advisory Committee.  He is a member of the Public Shareholders Group of the SFC and a member of the Disciplinary Panel of the Hong Kong Institute of Certified Public Accountants.  He holds a BA from the University of Hong Kong, an MBA from the Manchester Business School and a CFA.

Mr CHEN Yang Chung, Roy - Member

Aged 45, Executive Director, Sterling Enterprises Limited, was appointed to the Listing Committee on 13 May 2005.  He is a former alternate director of Wing Lung Bank Limited and was a member of the Takeovers and Mergers Panel from April 2005 to March 2008.  Mr Chen is also a member of the Executive Committee for the Hong Kong Council for Social Services, a trustee of the Hong Kong Council of Social Services Foundation and a member of the Steering Committee for the Caring Company Partnership Scheme.  In addition he is a member of the US-based Russell 20-20 organisation and an advisory faculty member of the Institute for Private Investors, also based in the US.

Mr CHOW Siu Lui, Jack - Member

Aged 48, Partner, Audit, KPMG China Hong Kong was appointed to the Listing Committee on 5 June 2009.  He is a member of the Council of the Hong Kong Institute of Certified Public Accountants, Deputy Chairman of its Professional Standards Monitoring Committee, a member of its Standards & Quality Accountability Board and a member of its Member Services Accountability Board.  Mr Chow is a member of the Dual Filing Advisory Group at the SFC and the Financial Reporting Advisory Panel at the Stock Exchange of Hong Kong Limited.  He is a Fellow of the Hong Kong Institute of Certified Public Accountants, a Fellow of the Association of Chartered Certified Accountants and an Associate of the Institute of Chartered Secretaries and Administrators.  Mr Chow holds a Professional Diploma in Accountancy granted by the Hong Kong Polytechnic University and has been an adjunct professor of the University since 2007.

Dr FUNG Shing Kwong - Member

Aged 62, was appointed to the Listing Committee on 19 May 2006.  He was previously Managing Director, North Asia of ACNielsen and prior to that was the Chief Executive Officer of Media Genesis, a company he co-founded. He was also formerly President of NBC Asia and General Manager of TVB.  Dr Fung was a member of the supervisory board of directors of New Skies Satellites, a company listed on the New York Stock Exchange.  He was a past member of the board and past President of the Cable and Satellite Broadcasting Association of Asia.  Dr Fung holds a PhD from Massachusetts Institute of Technology and an MBA from Columbia University.

Mr HUNT Stephen Burnau - Member

Aged 69, Deputy Chairman of Cathay International Holdings Limited, a company listed on the London Stock Exchange, was appointed to the Listing Committee on 5 November 2004.  He is a former president of the American Chamber of Commerce in Hong Kong and is currently a member of its government relations committee and a director of its charitable foundation.

Dr JIANG Guorong - Member

Aged 39, Managing Director, Head of Capital Markets Department, China International Capital Corporation Limited, was appointed to the Listing Committee on 5 June 2009.  Dr Jiang previously held positions at the Bank for International Settlements, the International Monetary Fund and the Hong Kong Monetary Authority.  He holds a PhD in economics from Cornell University, New York, an MA (Communication) from Miami University, Ohio, and a BA (Economics) from Nanjing University.  

Mr KEYES Terence Francois – Member

Aged 49, Head of Asia General Execution at Bank of America Merrill Lynch was appointed to the Listing Committee on 19 May 2008.  He was previously a Managing Director in the Investment Banking Division at Morgan Stanley.  Mr Keyes is a former member of the Hong Kong Panel on Takeovers and Mergers.  He is a graduate of Oxford University and an Associate Member of the Institute of Chartered Accountants in England and Wales.

Mr LEUNG Siu Tung, Anthony - Member

Aged 41, Partner, Assurance & Advisory Business Services, Ernst & Young China, was appointed to the Listing Committee on 5 June 2009.  He is a member of the Hong Kong Institute of Certified Public Accountants and a member of The Institute of Chartered Accountants in Australia.  Mr Leung is also a member of the Australian Society of Certified Practising Accountants and previously served on its Corporate Governance Sub-Committee.

Mr LONGO Joseph Paul - Member

Aged 49, General Counsel - Asia (ex Japan), Deutsche Bank AG, was appointed to the Listing Committee on 19 May 2006.  He was previously Special Counsel at Freehills (Solicitors), Sydney Australia and from 1996 to April 2001 was National Director, Enforcement at the Australian Securities & Investments Commission.  He is a graduate of the University of Western Australia and Yale University.  He is admitted as a solicitor in the New South Wales Supreme Court, Federal Court of Australia, High Court of Australia and the State of New York, USA.

Professor LOW Chee Keong - Member

Aged 47, Associate Professor in Corporate Law, The Chinese University of Hong Kong, was appointed to the Listing Committee on 19 May 2006.  A graduate of Monash University in Australia and The University of Hong Kong, Professor Low is admitted as an Advocate and Solicitor of the High Court in Malaysia.  He is a member of the Financial Reporting Review Panel and serves on the Board of Directors of the Asian Institute for Financial Professionals in Malaysia. 

Ms MA Xuezheng, Mary - Member

Aged 56, Partner and Managing Director, TPG Capital, was appointed to the Listing Committee on 5 June 2009.  Ms Ma was previously Chief Financial Officer of Lenovo Group Limited, which is listed on The Stock Exchange of Hong Kong Limited, and still serves as a Non Executive Vice Chairman on its Board. She is a Director of Shenzhen Development Bank, which is listed on the Shenzhen Stock Exchange and an Independent Non Executive Director of Standard Chartered Bank (Hong Kong) Limited. From September 2003 to April 2007, she was an Independent Non Executive Director of Sohu.com Inc which is listed on NASDAQ. Ms Ma is a graduate of Capital Normal University in Beijing. 

Mr NG Kim Guan, Alex - Member

Aged 47, Chief Executive Officer for Hong Kong and the Asian hub as well as the Deputy Head for Asia, Middle East, Africa and Turkey (overseeing Investments in the local units), Fortis Investments was appointed to the Listing Committee on 19 May 2006. Mr Ng served on the Board of Governors of the CFA Institute based in the United States from 2003 to 2006.

Mr NG Meng Hua, Daniel - Member

Aged 44, Managing Director and Head of Corporate Finance, BOCI Asia Limited, was appointed to the Listing Committee on 5 June 2009.  Mr Ng previously held senior positions at several investment banks before joining BOCI Asia Limited in 2004.  Mr Ng holds a Master of Laws from the School of Law, Northwestern University, an MBA from the University of Rochester, New York and a Bachelor’s degree from Indiana University, Bloomington, USA.  Mr Ng has also completed the Financial Management Program at Harvard Business School.    

Mr SCHRANTZ Alexander - Member

Aged 39, Managing Director, Asia Ex-Japan Investment Banking, Goldman Sachs, was appointed to the Listing Committee on 19 May 2006.  He holds a Bachelor of Arts degree in Economics (Distinction) from Yale University.

Ms SHIH, Edith - Member

Aged 57, Head Group General Counsel and Company Secretary, Hutchison Whampoa Limited was appointed to the Listing Committee on 5 June 2009.  Ms Shih is also an Executive Director of Hutchison Harbour Ring Limited, a company listed on the Main Board of The Stock Exchange of Hong Kong Limited, and a Non-executive Director of Hutchison China MediTech Limited, a company listed on the Alternative Investment Market operated by London Stock Exchange plc.  Ms Shih is also director and company secretary of a number of Hutchison group companies in various jurisdictions.  She is a member of the Council of The Hong Kong Institute of Chartered Secretaries and serves as Chairman of its Education Committee.  Ms Shih is also a member of the Standing Committee on Companies Law Reform and a lay member of the council of the Hong Kong Institute of Certified Public Accountants. 

Ms Shih is a qualified solicitor in Hong Kong, England and Wales and in Victoria, Australia and is a Fellow of both The Institute of Chartered Secretaries and Administrators and The Hong Kong Institute of Chartered Secretaries.  Ms Shih holds a Bachelor of Science degree in Education and a Master of Arts degree from the University of the Philippines, a Master of Arts degree and a Master of Education degree from Columbia University, New York.

Mr SOUTAR James Alexander - Member  

Aged 43, Executive Director of FrontPoint Management (HK) Limited and the portfolio manager of the FrontPoint Asia Pacific Fund, was appointed to the Listing Committee on 18 May 2007.  He was a co-founder of Phoenix Research Limited and a Managing Director of Lombard Odier (Asia) Limited.  Mr Soutar is a Chartered Financial Analyst.  He was the Chairman of the Advocacy Committee of The Hong Kong Society of Financial Analysts (HKSFA) and served on its board from January 1998 to January 2009.  Mr Soutar is a graduate of Tufts University, Boston.

Mr SUN Po Yuen, Richard - Member

Aged 48, Partner, PricewaterhouseCoopers, was appointed to the Listing Committee on 5 June 2009.  Mr Sun is the Head of Consumer & Industrial Products Audit Division of PricewaterhouseCoopers.  He is a director of the Hong Kong Applied Science and Technology Research Institute Company Limited, where he is also chairman of the audit committee, and a director of the Estate Agents Authority, where he is also a member of the Disciplinary Committee and the Finance and Strategic Development Committee.  Mr Sun is a member of the Admissions, Budgets & Allocations Committee of the Community Chest of Hong Kong. 

Mr Sun is a past Chairman and Executive Committee member of the Association of Chartered Certified Accountants, Hong Kong where he continues as a member of the Community Services Committee.  He was previously a member of the Corporate Governance Committee and the Registration and Practicing Committee of the Hong Kong Institute of Certified Public Accountants and was a member of the Accountancy Training Board of the Vocational Training Council.  Mr Sun is a Fellow of the Hong Kong Institute of Certified Public Accountants and a Fellow of the Association of Chartered Certified Accountants. 

Mr WINTER Richard David - Member  

Aged 56, Deputy Chairman of Quam Limited and Managing Director of Quam Capital Holdings, was appointed to the Listing Committee on 18 May 2007.  He was previously Managing Director, Deloitte & Touche Corporate Finance Limited and prior to that Managing Director, Investment Banking, at Standard Chartered Bank.  Mr Winter is a member of the Takeovers and Mergers Panel and the Takeovers Appeals Committee, and a Director of the Hong Kong Securities Institute.   He is a member of the Hong Kong Institute of Certified Public Accountants, Chairman of its Corporate Finance Committee and a Fellow of the Hong Kong Institute of Directors.  Mr Winter is an Executive Committee member of the Outward Bound Trust of Hong Kong and is Treasurer of the Living Islands Movement. He is a graduate of Edinburgh University and a Fellow of the Institute of Chartered Accountants in England and Wales.

Mr WONG Koon Man, Adrian - Member

Aged 44, Director, Abercan Limited and VL Asset Management Limited, was appointed to the Listing Committee on 19 May 2006.  Mr Wong is a member of the Inland Revenue Board of Review, the Broadcasting Authority, the Mandatory Provident Fund Schemes Appeal Board, the Legal Education Committee of the Law Society of Hong Kong and the Overseas Lawyers Qualification Examination Panels (Head III - Commercial and Company Law).  He was admitted as a solicitor in England and Wales in 1988 and in Hong Kong in 1989.

Dr WONG Tin Yau, Kelvin - Member  

Aged 48, Executive Director and Deputy Managing Director of Cosco Pacific Limited, was appointed to the Listing Committee on 18 May 2007.  Dr Wong is an independent Non Executive Director of China Metal International Holdings Inc, I.T. Limited and CIG Yangtze Ports PLC, and a former Independent Non-executive Director of Tradelink Electronic Commerce Limited all of which are listed on The Stock Exchange of Hong Kong Limited.  He is a Deputy Chairman, Chairman of the Corporate Governance Committee and fellow member of The Hong Kong Institute of Directors.  Dr Wong is a member of The Board of Review (Inland Revenue Ordinance), the OECD Asian Roundtable on Corporate Governance and Board Director of Business Environment Council.  He is a former member of the Auditing and Assurance Standards Committee of the Hong Kong Institute of Certified Public Accountants and the China Trade Advisory Committee of the Hong Kong Trade Development Council.  He is a member of the Hong Kong Securities Institute, The Chartered Institute of Marketing, UK, the National Investor Relations Institute, USA and an associate member of The Chartered Institute of Bankers, UK.  He is a council adviser and immediate past Chairman of the Hong Kong Chinese Orchestra Limited.  Dr Wong graduated from the Hong Kong Polytechnic University in 1985, obtained his Master of Business Administration from Andrews University, Michigan, in 1992, and obtained his Doctor of Business Administration from the Hong Kong Polytechnic University in 2007.
