Appointment of HKEx Chairman and Committee Members

Following the Government’s re-appointment of Ronald Arculli, the appointment of Chow Chung Kong and Timothy Freshwater, and shareholders’ re-election of Ignatius Chan and John Williamson as Directors of Hong Kong Exchanges and Clearing Limited (HKEx), the HKEx Board of today (Tuesday) appointed Chow Chung Kong as the Chairman of HKEx.

Pursuant to Article 111(2) of HKEx’s Articles of Association and Section 69 of the Securities and Futures Ordinance (SFO), the appointment of Chow Chung Kong as the HKEx Chairman is subject to the written approval of the Chief Executive of the Hong Kong Special Administrative Region.

Chow Chung Kong shall be the chairman of the Executive Committee and the Environmental, Social and Governance Committee pursuant to their respective terms of reference, the chairman of the Risk Management Committee pursuant to Section 65 of the SFO, as well as the chairman of the Listing Appeals Committee pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and the Rules Governing the Listing of Securities on the Growth Enterprise Market of The Stock Exchange of Hong Kong Limited.

The Board today also considered the composition of its Committees and appointed new members to certain Committees as follows. The composition of other Committees remains unchanged.
