The Stock Exchange of Hong Kong Limited (the Exchange), a wholly owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEx), announces appointments of members to the Listing Committee of the Main Board and Growth Enterprise Market (GEM) (together, the Listing Committee1).
The Listing Rules of the Main Board and the GEM (together, the Rules) provide that all Listing Committee members vacate office each annually. Each year, the Listing Nominating Committee nominates individuals for appointment (and reappointment) to the Listing Committee. The Board of the Exchange makes the appointments on the recommendation of the Listing Nominating Committee.
The Listing Nominating Committee comprises three non-executive members of the HKEx board (the Chairman, Ronald Arculli and directors, John Strickland and David Webb) and the Chairman and two Executive Directors of the Securities and Futures Commission (Chairman, Eddy Fong and Executive Directors, Martin Wheatley and Brian Ho Yin Tung.)
By a news release published on 26 February 2007 the Listing Nominating Committee invited applications from individuals interested in serving on the Committee. Thirteen applications were received. The Listing Nominating Committee is grateful to all applicants for expressing their willingness to serve.

With immediate effect membership of the Listing Committee will be as set out below. Members’ biographies are set out in the attached schedule.
Five of the Listing Committee members are new replacing existing members who although eligible did not seek reappointment to the Committee. The Exchange wishes to thank the retiring members, David Cheung, Michael Lee, Frank Slevin, Chang Sun and David Sun for their service on the Committee.

Biographies
Mr TONG Ka Shing, Carlson – Chairman
Aged 52, Co-Chairman, KPMG China & Hong Kong was appointed to the Listing Committee on 16 November 2001. He is a Council member of the Hong Kong Institute of Certified Public Accountants and chairs a number of its Committees. Mr Tong is a member of the Takeovers and Mergers Panel and the Dual Filing Advisory Group at the Securities and Futures Commission (SFC), and a member of the Standing Committee on Company Law Reform. He is also Deputy Chairman of the Hong Kong Chinese Orchestra and a Member of the Board of the Hong Kong Sports Institute.

Aged 63, Managing Director of The GE Asia Pacific Capital Technology Fund and Asia Pacific Capital (HK) Ltd was appointed to the Listing Committee on 16 May 2003. He is currently a director of Chinney Alliance Group Limited, a company listed on the Exchange and is a former director of Internet Technology Group, a company listed on the Singapore Stock Exchange. He is a member of the Dual Filing Advisory Group of the SFC. He is a former Chairman of the American Chamber of Commerce in Hong Kong, a former Deputy Chairman of the Hong Kong Community Chest, and a former member of the General Committee of the Hong Kong General Chamber of Commerce. He was a member of the Law Reform Commission for six years and an Adviser on the Basic Law Consultative Committee.

Aged 46, Partner, Freshfields Bruckhaus Deringer, was appointed to the Listing Committee on 19 May 2006. She qualified as a solicitor in Hong Kong and in England and Wales after receiving her Masters Degree from Cambridge University. Ms Ko is Deputy Chairman and a member of the Hong Kong Panel on Takeovers and Mergers, a member of the SFC (HKEC Listing) Committee and a member of the Standing Committee on Company Law Reform.
Mr CHOW Man Yiu, Paul – Ex officio Member
Aged 60, became an ex officio member of the Listing Committee on being appointed Chief Executive of HKEx on 1 May 2003. He is Chairman of the Exchange and also Chairman and director of various other subsidiaries of HKEx. Mr Chow was previously the Chief Executive, Asia Pacific ex-Japan Region of HSBC Asset Management (Hong Kong) Limited from April 1997 to April 2003. He is a director and chairman of the working committee of the World Federation of Exchanges, a former director of Hong Kong Cyberport Management Company Limited, and a member of the board of the Community Chest of Hong Kong. He is also a member of the Digital 21 Strategy Advisory Committee of the HKSAR Government, the Advisory Committee of the SFC, the Standing Committee on Company Law Reform, the Council and Court of the University of Hong Kong, and from December 2004 to December 2006 was an appointed member of the Council of the Hong Kong Institute of Certified Public Accountants. From 2000 to 2001 he was Chairman of the Hong Kong Investment Fund Association. Mr Chow is a Distinguished Fellow of The Hong Kong Computer Society and holds a Bachelor of Science degree in Mechanical Engineering, a Diploma in Management Studies and an MBA degree from the University of Hong Kong, and a Diploma in Finance (Distinction) from the Chinese University of Hong Kong.

Aged 45, Founding Secretary General of the Asian Corporate Governance Association, an independent non-profit organisation based in Hong Kong, was appointed to the Listing Committee on 19 May 2006. Mr Allen is a member of the Public Shareholders’ Group of the SFC and the Working Group on Disclosure Requirements for Security Interests of the SFC. He is also a core member of the OECD Asian Corporate Governance Roundtable and a member of the International Corporate Governance Network. He is an honours graduate of the Australian National University, Canberra.

Aged 56, Partner, Deloitte Touche Tohmatsu was appointed to the Listing Committee on 16 May 2003. He is a former member of the Council and a former President of the Hong Kong Institute of Certified Public Accountants. Mr Best is also a member of the Securities and Futures Appeals Tribunal and the Share Registrar’s Disciplinary Committee.

In the two decades prior to rejoining Kim Eng Securities in 2006, he had held a number of senior positions at major institutions operating in the capital markets in Hong Kong. Mr Brown is a director of Civic Exchange and a Member of Vision 2047. He graduated from Reading University with a degree in Urban Estate Management.

He is a former vice chairman of the Asian Securities Analysts Federation and currently chairs its publications committee. Mr Bunker is a member of The British Chamber of Commerce’s Business Policy Unit, a former chairman of the Hong Kong Institute of Investment Analysts and was a founder-director of the Hong Kong Securities Institute. He is a graduate of Cambridge University.

Aged 44, Managing Director, JAFCO Asia, was appointed to the Listing Committee on 18 May 2007. Mr Chan was a Non Executive Director of China Grentech and Canadian Solar, both of which are listed on NASDAQ. He is the President and a former Chairman of the Hong Kong Venture Capital and Private Equity Association, a member of the Assessment Panel for the Small Entrepreneur Research Assistance Programme, a member of the TDC’s ICT Services Advisory Committee and a member of the TDC’s Promotion of Hong Kong’s Innovation and Technology Committee. He is a member of the Public Shareholders Group of the SFC and the Disciplinary Panel of the Hong Kong Institute of Certified Public Accountants. Aged 60, was appointed to the Listing Committee on 19 May 2006. He was previously Managing Director, North Asia of ACNielsen and prior to that was the Chief Executive Officer of Media Genesis, a company he co-founded. He was also formerly President of NBC Asia and General Manager of TVB. Dr Fung was a member of the supervisory board of directors of New Skies Satellites, a company listed on the New York Stock Exchange. He was a past member of the board and past President of the Cable and Satellite Broadcasting Association of Asia. Dr Fung holds a PhD from Massachusetts Institute of Technology and an MBA from Columbia University.

Aged 42, Partner and Risk Advisory Services Practice Leader, Ernst & Young China, was appointed to the Listing Committee on 18 May 2007. He is a member of the Hong Kong Institute of Certified Public Accountants and was a member of its Qualification Programme Promotion Working Group. Mr Go is also a member of the Institute of Chartered Accountants in England and Wales and a graduate of the London School of Economics.

Aged 60, Group Managing Director, OSK Asia Holdings Limited, was appointed to the Listing Committee on 16 May 2003. He was previously Managing Director of UOB Kay Hian (Asia) Limited. He is an Independent Non executive Director of Lifestyle International Holdings Limited, Chun Wo Holdings Limited, Frasers Property (China) Limited (previously known as Vision Century Corporation Limited), Luk Fook Holdings (International) Limited, Jiuzhou Development Company Limited; and a former Independent Non Executive Director of New World Mobile Holdings Limited and Wing Lee Holdings Limited – all of which are listed on the Exchange. Mr Hui was appointed a Justice of the Peace in 2004 and was a member of the Election Committee for the HKSAR. He is a former president of the American Chamber of Commerce in Hong Kong and is currently a member of its government relations committee and a director of its charitable foundation.

Aged 46, Partner, PricewaterhouseCoopers was appointed to the Listing Committee on 16 May 2003. Mr Ip is the leader of the Hong Kong and China assurance practice of PricewaterhouseCoopers. He is a Fellow of the Hong Kong Institute of Certified Public Accountants, a council member of the Hong Kong Consumer Council and a member of the Review Panel of the Hong Kong Institute of Surveyors.

Aged 48, Chairman and CEO of Goldbond Capital Holdings Limited since July 2003 was appointed to the Listing Committee on 16 May 2003. He was Chairman of BNP Paribas Peregrine Capital Limited from February 2001 to November 2002 and a director of Goldbond Group Holdings Limited from February 2003 to August 2005. He is an Independent Non Executive Director of Tianjin Capital Environmental Protection Company Limited and a former Independent Non Executive Director of iMerchants Limited – all of which are listed on the Exchange. From May 1997 to May 2003 he was an Independent Non Executive Director of Dazhong Transport (Group) Company Limited which is listed on the Shanghai Stock Exchange. Aged 45, Associate Professor in Corporate Law, The Chinese University of Hong Kong, was appointed to the Listing Committee on 19 May 2006. Professor Low holds degrees in economics and law from Monash University in Australia, a Master of Laws from the University of Hong Kong and is admitted as an Advocate and Solicitor of the High Court in Malaya. He presently serves in various academic advisory roles to the Hong Kong Institute of Certified Public Accountants and the Hong Kong Institute of Chartered Secretaries.
