Appointment of Listing Committee Members

The Stock Exchange of Hong Kong Limited (the Exchange), a wholly-owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEx), announces the appointment of members to the Listing Committee of the Main Board and Growth Enterprise Market (GEM) (together, the Listing Committee1).

The Listing Rules of the Main Board and GEM provide for all Listing Committee members to vacate office annually.  Each year, the Listing Nominating Committee nominates individuals for appointment (and reappointment) to the Listing Committee.  The Board of the Exchange makes the appointments on the recommendation of the Listing Nominating Committee.

The Listing Nominating Committee comprised three non-executive members of the HKEx Board (then Chairman, Ronald Arculli, and then Director Laura Cha and Director John Strickland) and the Chairman and two Executive Directors of the Securities and Futures Commission (Chairman Eddy Fong, Chief Executive Ashley Alder and Executive Director Brian Ho).

By news releases published on 6 February 2012 and 27 February 2012, the Listing Nominating Committee invited applications from individuals interested in serving on the Listing Committee.  Fifty-eight applications were received.  The Listing Nominating Committee is grateful to all applicants for expressing their willingness to serve.

Membership of Listing Committee commencing today

With immediate effect, membership of the Listing Committee will be as set out in the table below.  Members’ biographies are attached below the table.  There are nine new Listing Committee members – Stephen Brown, Julia Charlton, Stephen Clark, Nial Gooding, Yvonne Ho, Arnold Ip, Andrew Malcolm, May Tan and Eirene Yeung.  They replace Teresa Ko (who served as Chairman from 2009 to 2012), John Moore (who served as Deputy Chairman from 2009 to 2012), Melissa Brown, Robert Bunker, Janine Canham, Vincent Chan, Fung Shing Kwong, Edith Shih and Adrian Wong.  The Exchange wishes to thank these members for their service on the Listing Committee.

Members’ Biographies

Mr LEE Ka Sze, Carmelo — Chairman

Aged 52, Partner of Woo, Kwan, Lee & Lo, was appointed to the Listing Committee on 5 June 2009.  He is a non-executive director of Hopewell Holdings Limited, China Pharmaceutical Group Limited, The Cross-Harbour (Holdings) Limited, Yugang International Limited, YT Realty Group Limited, Safety Godown Limited and Termbray Industries International (Holdings) Limited; and an independent non-executive director of KWG Property Holding Limited and Ping An Insurance (Group) Company of China Limited.

Mr Lee is a chairman of the Transport Tribunal of the HKSAR Government, a member of the SFC Dual Filing Advisory Group, and a member of the Disciplinary Panel of the Hong Kong Institute of Certified Public Accountants.  He is also a member of the Campaign Committee of The Community Chest of Hong Kong and the Co-Chairman of the Community Chest Corporate Challenge Half Marathon.

Mr Lee is qualified as a solicitor in Hong Kong and is a graduate of the University of Hong Kong.  He previously served on the Listing Committee from 2000 to 2003.

Mr BROWN Stephen James — Deputy Chairman

Aged 57, Director of Corporate Affairs at Noble Group Limited since August 2007, was appointed to the Listing Committee on 4 May 2012.  Mr Brown was previously a director of Kim Eng Securities Hong Kong Limited and has held a number of senior positions at major institutions operating in the capital markets in Hong Kong and Asia.  Mr Brown is a director of Civic Exchange and a member of the SFC Dual Filing Advisory Group.  He graduated from Reading University with a degree in Urban Estate Management.  He previously served on the Listing Committee from 2006 to 2009.

Mr TAYLOR Stephen — Deputy Chairman

Aged 55, Partner, Deloitte Touche Tohmatsu, was appointed to the Listing Committee on 24 June 2011.  Mr Taylor is in charge of the national audit and assurance technical department for Deloitte China and head of the Deloitte Asia Pacific IFRS centre of excellence based in Hong Kong. He is a Fellow of the Hong Kong Institute of Certified Public Accountants, where he is also a member of the Professional Standards Monitoring Expert Panel and was previously a member of the Financial Reporting Committee and Professional Standards Monitoring Committee. Mr Taylor is a member of the International Accounting Standards Board and Financial Accounting Standards Board joint committee on Financial Statements Presentation (performance reporting) and is a member, and one of the conveners, of the Financial Reporting Council’s Financial Reporting Review Panel.  He is a member of the Institute of Chartered Accountants in England and Wales and a Fellow of the Institute of Chartered Accountants of Australia. Mr Taylor graduated from Lancaster University with a degree in Accounting and Finance.

Mr LI Xiaojia, Charles — Ex officio member

Aged 51, became an ex officio member of the Listing Committee when his appointment as Chief Executive of HKEx took effect on 16 January 2010.  Mr Li is Chairman of The Stock Exchange of Hong Kong Limited and also Chairman and a director of various other subsidiaries of HKEx.  Mr Li was previously the chairman of JP Morgan Chase China.  He was the president of Merrill Lynch China from 1999 to 2003 and was an associate of the law firms Davis Polk & Wardwell and Brown & Wood.  Mr Li obtained a BA degree from Xiamen University of China in 1984, a MA degree from the University of Alabama in 1988 and a JD degree from Columbia University School of Law in New York in 1991.  He worked as an offshore oil worker in the north China sea prior to college, and a newspaper editor-reporter for China Daily from 1984-1986.

Mr BROWN Tobias Josef — Member

Aged 48, Managing Director, UCL Asia Limited, was appointed to the Listing Committee on 24 June 2011.  UCL is one of Hong Kong’s leading private equity groups with backing from major universities, pension funds, and family offices.  Mr Brown also served for 17 years as the Chief Investment Officer for the late Sir James Goldsmith and is currently Chief Investment Officer for EXOR SPA, the investment holding company controlled by the Agnelli family of Italy.  EXOR controls or is the largest investor in FIAT, Chrysler, SGS, Cushman & Wakefield and one of the best known soccer teams in Europe, Juventus.  Mr Brown was previously a director of Hsin Chong Construction (Group) Limited, which is listed on The Stock Exchange of Hong Kong Limited, and A-S China Plumbing Products Limited, which was previously listed on the Exchange.  Mr Brown is also active in a number of charities and public policy groups in Hong Kong and elsewhere.  Mr Brown is an American citizen and a permanent resident of Hong Kong.

Ms CHARLTON Julia Frances — Member

Aged 52, Partner, Charltons, was appointed to the Listing Committee on 4 May 2012.  She is a member of the Takeovers and Mergers Panel and a member of the Takeovers Appeal Committee of the Securities and Futures Commission (SFC) and a member and Deputy Chairman of the Share Registrars Disciplinary Committee of the SFC.  Ms Charlton is a Fellow of the Hong Kong Institute of Directors and a Fellow of the Hong Kong Securities Institute and a member of its Examinations Committee.  She is also a member of Investigation Panel A of Hong Kong Institute of Certified Public Accountants and of the Company Law Committee of The Law Society of Hong Kong.

Ms Charlton is Chairman of the Legalink International Committee, the treasurer of the Friends of the London School of Economics in Hong Kong and a member of the Edinburgh Napier University Vice Chancellor’s Asian Advisory Committee.

Ms Charlton is qualified as a solicitor in Hong Kong and in England and Wales.  She holds a first class honours degree from King’s College London and a Postgraduate Diploma from the University of Oxford.

Mr CLARK Stephen John — Member 

Aged 48, Managing Director, Advisory, Global Banking for The Hongkong and Shanghai Banking Corporation Limited, was appointed to the Listing Committee on 4 May 2012.  He is a member of the SFC Dual Filing Advisory Group.  Mr Clark is a member of the Hong Kong Securities Institute. He is qualified as a solicitor in Hong Kong and is a non-practising solicitor in England and Wales. He holds a law degree from Southampton University.

Mr DAVIS Nigel JustinMember

Aged 42, Senior Teaching Consultant, Department of Professional Legal Education, University of Hong Kong, was appointed to the Listing Committee on 23 July 2010.  He is also a part-time consultant to Simmons & Simmons in Hong Kong where he was previously an associate.  Mr Davis is a graduate of University College of London and the University of Southern California.  He is admitted to practice as a solicitor in England and Wales, and Hong Kong.

Mr GOODING Nial Dennis Henry — Member

Aged 52, Head of Equity Strategy, Northwest Investment Management Limited, was appointed to the Listing Committee on 4 May 2012. Mr Gooding has lived and worked in Asia for more than 25 years, and in Hong Kong since 1992. Prior to his present position he has worked for a number of investment banks in equity sales and sales management positions. For the 10 years prior to his most recent appointment he was an Executive Director in the Hong Kong and China Equity Sales group of UBS. He is also a CFA Charterholder.

Ms HO Yvonne — Member 

Aged 48, Chief Operating Officer and Head of Legal & Compliance, Cheetah Investment Management Limited, and Founder and Managing Director, Courses & Seminars Limited, was appointed to the Listing Committee on 4 May 2012.  She is qualified as a solicitor in Hong Kong and in England and Wales.  Ms Ho is admitted as a Barrister of the Province of British Columbia and Solicitor of the Supreme Court of British Columbia, Canada.  She holds a law degree from the University of British Columbia and a BA from Pomona College, Claremont, California.

Mr IP Tin Chee, Arnold — Member 

Aged 49, Executive Director of Altus Capital Limited, a licensed financial advisor in Hong Kong, and executive chairman of Japan Residential Assets Manager Limited, manager of a real estate investment trust listed in Singapore was appointed to the Listing Committee on 4 May 2012.  He is an independent non-executive director of Pioneer Global Group Limited, and an independent non-executive director of Pak Fah Yeow International Limited, both of which are listed on The Stock Exchange of Hong Kong Limited.  Between 1989 and March 1997, Mr Ip worked for Standard Chartered Asia Limited and was a director of Yuanta Securities (Hong Kong) Limited thereafter until January 2001.  Mr Ip holds a Master of Arts from Trinity College, Cambridge University, and is a member of the Institute of Chartered Accountants in England and Wales.

Dr JIANG Guorong — Member

Aged 42, Managing Director, Head of Capital Markets Department, China International Capital Corporation Limited, was appointed to the Listing Committee on 5 June 2009.  Dr Jiang previously held positions at the Bank for International Settlements, the International Monetary Fund and the Hong Kong Monetary Authority.  He holds a PhD in economics from Cornell University, New York, an MA (Communication) from Miami University, Ohio, and a BA (Economics) from Nanjing University.

Mr KEYES Terence FrançoisMember

Aged 52, Managing Director in the Investment Banking Division at Morgan Stanley, was appointed to the Listing Committee on 19 May 2008.  Mr Keyes was previously Head of Asia General Execution at Bank of America Merrill Lynch and is a former member of the Hong Kong Panel on Takeovers and Mergers.  He is a graduate of Oxford University and an Associate Member of the Institute of Chartered Accountants in England and Wales.

Mr LEUNG Heung Ying, Alvin — Member

Aged 49, Managing Director and sole shareholder of Proton Capital Limited, was appointed to the Listing Committee on 23 July 2010.  Mr Leung was previously Managing Director & Executive Director of Artfield Group Limited (now known as China Sonangol Resources Enterprise Limited), which is listed on the Main Board of The Stock Exchange of Hong Kong Limited, and Vice Chairman, Executive Director and Deputy Chief Executive Officer of Grand TG Gold Holdings Limited, a company listed on the Growth Enterprise Market.

Mr Leung is a Fellow Member of the Institute of Chartered Accountants in England and Wales, and the Hong Kong Institute of Certified Public Accountants.  At the latter he was previously a member of the Corporate Finance Committee, the Expert Panel on Listing and the Advisory Committee on Listing and Takeover Regulations.  He is a Standing Committee member of the Political Consultative Committee of Wu Hua County of Guangdong Province and an arbitrator of the Panel of Arbitrators of China International Economic and Trade Arbitration Commission.  Mr Leung is a member of the Energy Advisory Committee and the Public Affairs Forum of the HKSAR Government.  He also serves as Committee member of Hong Kong Securities Professionals Association.  Mr Leung graduated from the University of Bradford, United Kingdom with a Bachelor’s degree. He received a Master Degree from London School of Economics and Political Science of University of London, United Kingdom and a Bachelor’s degree in Chinese Laws from the Peking University, the PRC.

Mr LEUNG Siu Tung, Anthony — Member

Aged 44, Partner, Assurance & Advisory Business Services, Ernst & Young China, was appointed to the Listing Committee on 5 June 2009.  He is a member of the Hong Kong Institute of Certified Public Accountants and a member of The Institute of Chartered Accountants in Australia.  Mr Leung is also a member of the Australian Society of Certified Practising Accountants and previously served on its Corporate Governance Sub-Committee.

Mr LI Kai Cheong, Samson Member

Aged 52, Deputy Chief Executive and Chief Investment Officer, The Bank of East Asia Limited, was appointed to the Listing Committee on 23 July 2010.  Mr Li is also an Independent Non-executive Director of China Merchants China Direct Investments Limited.  He is a Fellow of The Hong Kong Institute of Chartered Secretaries, the Institute of Chartered Secretaries & Administrators, and The Association of Chartered Certified Accountants.  He is also an Associate of the Hong Kong Institute of Certified Public Accountants and a Member of the Hong Kong Securities Institute.  Mr Li holds a Professional Diploma in Accountancy from The Hong Kong Polytechnic University.

Mr LIU Ting AnMember

Aged 50, Deputy Chairman and President, China Life Insurance (Overseas) Company Limited, was appointed to the Listing Committee on 23 July 2010.  He was previously Secretary to the Board of Directors and spokesman, China Life Insurance Company Limited.  Mr Liu is a Fellow of the Hong Kong Institute of Chartered Secretaries.  He is a council member and fellow member of the Hong Kong Institute of Directors. He is a council member of the Life Insurance Council of the Hong Kong Federation of Insurers and Chairman of its Renminbi Life Insurance Products Task Force.  Mr Liu is also an Executive Director of the Hong Kong Chinese Enterprises Association.  He holds a Bachelor of Economics from Jiang Xi Finance and Economics College and a Master of Economics from Renmin University of China Graduate School.  He completed a scholarship programme in Monetary Policy and Financial Markets at Oxford University.

Ms MA Xuezheng, Mary — Member

Aged 59, Chairman, Boyu Capital Advisory Co. Ltd., was appointed to the Listing Committee on 5 June 2009.  Ms Ma was previously Partner and Managing Director, TPG Capital, and prior to that Chief Financial Officer of Lenovo Group Limited, which is listed on The Stock Exchange of Hong Kong Limited, and still serves as a Non-executive Vice Chairman on its Board.  She is a Director of Shenzhen Development Bank, which is listed on the Shenzhen Stock Exchange, and an Independent Non-executive Director of Standard Chartered Bank (Hong Kong) Limited.  From September 2003 to April 2007, she was an Independent Non-executive Director of Sohu.com Inc which is listed on NASDAQ.  Ms Ma is a graduate of Capital Normal University in Beijing.

Mr MALCOLM Andrew Craig — Member

Aged 51, Partner, Linklaters, was appointed to the Listing Committee on 4 May 2012.  Mr Malcolm acts as legal adviser to the Asian Capital Markets Association; he is a member of the supervisory committee of the Asian Bond Fund; and he is a member of the Market Practices committee of the Treasury Markets Association.  Mr Malcolm is qualified as a solicitor in Hong Kong and in England and Wales.  He holds BA (Jurisprudence) and BCL degrees from Oxford University.

Mr NG Meng Hua, Daniel — Member

Aged 47, Managing Director and Head of Corporate Finance, BOCI Asia Limited, was appointed to the Listing Committee on 5 June 2009.  Mr Ng held senior positions at several investment banks before joining BOCI Asia Limited in 2004.  Mr Ng holds a Master of Laws from the School of Law, Northwestern University, an MBA from the University of Rochester, New York and a Bachelor’s degree from Indiana University, Bloomington, USA.  Mr Ng has also completed the Financial Management Program at Harvard Business School.

Mr PHENIX Paul Anthony Member

Aged 66, Director – Technical and Regulatory, Baker Tilly, was appointed to the Listing Committee on 23 July 2010.  He was previously Senior Adviser to the Australian Securities Exchange and was a member of the ASX Listing Committee. Prior to that he was Executive Director, Regulation, The Stock Exchange of Hong Kong Limited.  Mr Phenix is a Fellow of the Hong Kong Institute of Certified Public Accountants and is a member of its Financial Reporting Standards, Auditing and Assurance Standards, and Professional Conduct Committees.  He is also a Fellow of the Institute of Chartered Accountants in England and Wales.  Mr Phenix is a member of the International Steering Committee of XBRL International and a director of XBRL Australia.  He holds a Bachelor’s degree from the London School of Economics and an MBA from Bradford University Management Centre.

Mr SOUTAR James AlexanderMember 

Aged 46, Director, PhoenixInvest Group (HK) Ltd., was appointed to the Listing Committee on 18 May 2007.  He was previously Executive Director of FrontPoint Management (HK) Limited and the portfolio manager of the FrontPoint Asia Pacific Fund.  He was a co-founder of Phoenix Research Limited and a Managing Director of Lombard Odier (Asia) Limited.

Mr Soutar is a Chartered Financial Analyst.  He was the Chairman of the Advocacy Committee of The Hong Kong Society of Financial Analysts and served on its board from January 1998 to January 2009.  Mr Soutar is a graduate of Tufts University, Boston.

Mr SUN Po Yuen, Richard — Member

Aged 51, Partner, PricewaterhouseCoopers, was appointed to the Listing Committee on 5 June 2009.  Mr Sun is the Head of Consumer & Industrial Products Audit Division of PricewaterhouseCoopers.  He is a director of the Hong Kong Applied Science and Technology Research Institute Company Limited, where he is also Chairman of the audit committee, and was previously a director of the Estate Agents Authority, where he was also a member of the Disciplinary Committee and the Finance and Strategic Development Committee.  Mr Sun is a member of the Admissions, Budgets & Allocations Committee of the Community Chest of Hong Kong.

Mr Sun is a past Chairman and Executive Committee member of the Association of Chartered Certified Accountants, Hong Kong where he continues as a member of the Community Services Committee.  He was previously a member of the Corporate Governance Committee and the Registration and Practicing Committee of the Hong Kong Institute of Certified Public Accountants and was a member of the Accountancy Training Board of the Vocational Training Council.  Mr Sun is a Fellow of the Hong Kong Institute of Certified Public Accountants and a Fellow of the Association of Chartered Certified Accountants.

Ms TAN May Siew Boi — Member

Aged 56, Vice Chairman – Wholesale Bank – Asia and Executive Director, Standard Chartered Bank (Hong Kong) Limited was appointed to the Listing Committee on 4 May 2012.  She was previously the Chief Executive Officer of Cazenove Asia and a partner of Cazenove and Co.  Cazenove Asia became part of Standard Chartered Bank in January 2009.  She is a member of the Takeovers and Mergers Panel and the Takeovers Appeal Panel of the Securities and Futures Commission.  Ms Tan is on the Board of Oxfam Hong Kong and is also its Treasurer.  She is a member of the Institute of Chartered Accountants in England and Wales, Hong Kong Institute of Certified Public Accountants and holds a degree from Sheffield University.

Mr WANG Sing — Member

Aged 48, Global Partner, of TPG, was appointed to the Listing Committee on 24 June 2011.  Co-Chairman of TPG Greater China, the Head of TPG Growth North Asia and Chairman of Amerinvest Group.  Mr Wang was previously Chief Executive Officer and Executive Director of TOM Group Limited, which is listed on The Stock Exchange of Hong Kong Limited.  He is a Standing Committee Member of the 10th Yunnan Provincial Committee of the Chinese People’s Political Consultative Conference, Chairman of the Industry Policy Committee and sits on the Board of Governors of the China Venture Capital and Private Equity Association.  Mr Wang is currently director of MIE Holdings Corporation and China Renewable Energy Investment Limited, both of which are listed on the Exchange.

Mr Wang holds a Bachelor of Science degree in Chemistry from Yunnan University, and a Master of Science in Forestry and its Relation to Land Use, a Bachelor of Arts in Philosophy, Politics and Economics and a Master of Arts from Oxford University.

Mr WINTER Richard David Member  

Aged 59, Deputy Chairman of Quam Limited and Managing Director of Quam Capital Holdings, was appointed to the Listing Committee on 18 May 2007.  He was previously Managing Director, Deloitte & Touche Corporate Finance Limited and prior to that Managing Director, Investment Banking, at Standard Chartered Bank.  Mr Winter is a member of the Takeovers and Mergers Panel and the Takeovers Appeal Committee of the Securities and Futures Commission.  He is a member of the Hong Kong Institute of Certified Public Accountants, Chairman of its Corporate Finance Committee and a Fellow of the Hong Kong Institute of Directors.  Mr Winter is an Executive Committee member of the Outward Bound Trust of Hong Kong and is Treasurer of the Living Islands Movement. He is a graduate of Edinburgh University and a Fellow of the Institute of Chartered Accountants in England and Wales.

Dr WONG Tin Yau, KelvinMember

Aged 51, Executive Director and Deputy Managing Director of Cosco Pacific Limited, was appointed to the Listing Committee on 18 May 2007.  Dr Wong is an independent Non-executive Director of China Metal International Holdings Inc, I.T Limited, CIG Yangtze Ports PLC and China ZhengTong Auto Services Holdings Limited, all of which are listed on The Stock Exchange of Hong Kong Limited.  Dr Wong is the Chairman of The Hong Kong Institute of Directors, a member of the SFC (HKEC Listing) Committee, a member of the Standing Committee on Company Law Reform, a member of the Appeal Board Panel (Town Planning), a council member of The Hong Kong Management Association, a member of The Board of Review (Inland Revenue Ordinance), a member of the OECD Asian Roundtable on Corporate Governance, a Board Director of Business Environment Council and a member of the Corruption Prevention Advisory Committee of the Independent Commission Against Corruption.  He is also a council adviser and past Chairman of the Hong Kong Chinese Orchestra Limited.  Dr Wong obtained his Master of Business Administration from Andrews University, Michigan in 1992 and his Doctor of Business Administration from the Hong Kong Polytechnic University in 2007.

Ms YEUNG Eirene Member

Aged 51, Director, Corporate Strategy Unit and Company Secretary of Cheung Kong (Holdings) Limited, was appointed to the Listing Committee on 4 May 2012.  She is a Non-executive Director of ARA Asset Management (Fortune) Limited, which manages Fortune Real Estate Investment Trust, a real estate investment trust listed in Hong Kong and Singapore; the Alternate Director to the Group Managing Director of Cheung Kong Infrastructure Holdings Limited; and the Company Secretary of Cheung Kong Infrastructure Holdings Limited and CK Life Sciences Int’l., (Holdings) Inc. 

Ms Yeung is a General Committee member of The Chamber of Hong Kong Listed Companies, a member of the Board of Review (Inland Revenue Ordinance), a member of the Companies Ordinance Rewrite Advisory Group, a member of the Advisory Group on BBA-JD Programme of The Chinese University of Hong Kong and a member of the Public Affairs Forum, Home Affairs Bureau of the HKSAR.  Ms Yeung is a fellow member of The Hong Kong Institute of Directors, The Hong Kong Institute of Chartered Secretaries and The Institute of Chartered Secretaries and Administrators.  She is qualified as solicitor in Hong Kong and in England and Wales.  She holds a Master of Science degree in Finance, a Master’s degree in Business Administration and a Bachelor’s degree in Laws.
