Exchange’s Disciplinary Action against Two Former Directors of Differ Group Auto Limited (In Liquidation) (Stock Code: 6878)

IMPOSES A DIRECTOR UNSUITABILITY STATEMENT 1 and CENSURE against:
- Mr Kang Fuming, former non-executive director of Differ Group Auto Limited (In Liquidation, Stock Code: 6878); and
- Mr Chen Naike, former independent non-executive director of the Company.
The Exchange conducted an investigation concerning whether Mr Kang and Mr Chen discharged their directors’ duties under the Listing Rules. As part of the investigation, the Exchange sent investigation and reminder letters to each of Mr Kang and Mr Chen. Mr Kang responded to some but not all of the Exchange’s enquiries. Mr Chen did not respond to the Exchange’s enquiries.
Key messages:
Directors are required to fully cooperate with the Exchange in its investigations.
A failure to cooperate includes a failure to provide substantive responses to some or all of the Exchange’s enquiries. Such failure is a serious breach of the Listing Rules and may result in the most serious disciplinary sanction.
Directors are reminded that their obligation to cooperate does not lapse after they cease to be directors.

- The Director Unsuitability Statement is a statement that, in the Exchange’s opinion, each of Mr Kang and Mr Chen is unsuitable to occupy a position as director or within senior management of the Company or any of its subsidiaries.
