IMPOSES A DIRECTOR UNSUITABILITY STATEMENT1 and CENSURE against:
(1) Mr Zou Gebing, former chairman, executive director and chief executive officer of Regal Partners Holdings Limited (formerly known as Morris Home Holdings Limited) (Stock Code: 1575) (Company); and
(2) Mr Shen Zhidong, former executive director.
The Exchange found that Mr Zou Gebing and Mr Shen Zhidong failed to cooperate in its investigation, in breach of the Listing Rules.
Mr Zou and Mr Shen were involved in two separate investigations conducted by the Exchange in relation to the Company.
In January 2025, the Exchange imposed a Prejudice to Investors' Interest Statement and a public censure against Mr Zou and Mr Shen for their breach of directors’ duties and obligations under the Listing Rules regarding a guarantee provided by a subsidiary of the Company to secure a sum owed by Mr Zou’s privately-held company to a third party in October 2021. Mr Zou and Mr Shen cooperated with the Exchange in this investigation.
After the conclusion of investigation into the guarantee, the Exchange became aware of allegations of other possible breaches of the Listing Rules by the Company’s directors, and conducted a separate investigation in the matter.
As part of the second investigation, the Exchange sent investigation and reminder letters to each of Mr Zou and Mr Shen. Mr Zou only responded to some but not all of the Exchange’s enquiries and failed to provide his up-to-date contact information as requested. Mr Shen did not provide any substantive response to the Exchange’s enquiries.
Key messages:
Full cooperation with the Exchange is essential. Directors must respond completely and promptly to all of the Exchange’s investigations and enquiries. Selective or partial cooperation will be considered as a failure to cooperate.
Directors must also provide up-to-date contact information to the Exchange for the purposes of the Exchange’s investigation. Failure to do so will also be regarded as non-cooperation.
Failure to cooperate in the Exchange’s investigation is a serious breach of the Listing Rules and may result in the most serious disciplinary sanction.

- The Director Unsuitability Statement is a statement that, in the Exchange’s opinion, Mr Zou and Mr Shen are unsuitable to occupy a position as director or within senior management of the Company or any of its subsidiaries.
